The purpose of this code is to set out Aleen’s approach to corporate governance. Aleen is committed to maintaining high standards of corporate governance and sees good corporate governance as an essential tool in maximizing long term shareholder value and as being entirely consistent with its commitment to quality in all of its processes and products. The rules set out in the Company’s Corporate Governance guidelines are mandatory for all Directors and staff of Aleen , and can only be amended by a resolution of the Board of Directors. Corporate Governance is defined as ‘the system by which business corporations are directed and controlled’. The corporate governance structure specifies the distribution of authority and responsibilities among different participants in the corporation, such as, the Board, managers, shareholders and others, and spells out the rules and procedures for making decisions on corporate affairs. By doing this, it also provides the structure through which the company objectives are set and the means of attaining those objectives and monitoring performance. The Board of Directors is responsible for Aleen’s Corporate Governance Code.
